Global Supplier Quality and Warranty Terms Agreement of ABADODO

1. Introduction导言
This Supplier Quality and Warranty Terms Agreement ("Agreement") is entered into as of [Date], by and between ABADODO ("ABADODO" or "Shenzhen Home Q Technology Co., Ltd.") and [Supplier Name] ("Supplier"). This Agreement sets forth the terms and conditions under which Supplier agrees to supply products to ABADODO and the quality and warranty standards that must be met by Supplier.
本供应商质量和保修条款协议(“协议”)由ABADODO(“ABADODO”或“深圳市长芯实科技有限公司”)和[供应商名称](“供应商”)于[日期]签订。本协议规定了供应商同意向ABADODO供应产品的条款和条件,以及供应商必须满足的质量和保修标准。
2. Quality Standards 质量标准
The supplier agrees to provide products that meet or exceed the quality standards specified in this agreement with the consent of an authorized representative of ABABDODO. Supplier shall ensure that all products supplied to ABADODO are free from defects in materials and workmanship and conform to the specifications and descriptions provided by Supplier. Supplier shall implement and maintain a quality management system that complies with ISO 9001 or an equivalent standard.
供应商同意提供符合或经过ABABDODO授权代表同意后供应超过本协议规定的质量标准的产品。供应商应确保提供给ABADODO的所有产品在材料和工艺上无缺陷,并符合供应商提供的规范和说明。供应商应实施和维护符合ISO 9001或同等标准的质量管理体系。
3. Warranty 保修
Supplier warrants that all products supplied to ABADODO will be free from defects in materials and workmanship for a period of [Warranty Period] from the date of delivery. In the event that a product is found to be defective, Supplier shall, at its expense, promptly repair or replace the defective product or refund the purchase price, at ABADODO's option.
供应商保证,自交付之日起的[保修期]内,供应给ABADODO的所有产品在材料和工艺方面均无缺陷。如果发现产品有缺陷,供应商应自费立即修理或更换有缺陷的产品,或退还购买价格,由ABADODO决定。
4. Quality Assurance and Inspection 质量保证和检验
ABADODO shall have the right to inspect all products supplied by Supplier for compliance with the quality standards set forth in this Agreement. Such inspections may be conducted at any time before, during, or after delivery. If any products are found to be non-conforming, ABADODO shall notify Supplier immediately and Supplier shall take prompt corrective action at its expense.
ABADODO有权检查供应商提供的所有产品是否符合本协议规定的质量标准。此类检查可在交付前、交付期间或交付后的任何时间进行。如果发现任何产品不合格,ABADODO应立即通知供应商,供应商应自费迅速采取纠正措施。
5. Non-Conformance and Corrective Action 不符合项和纠正措施
In the event that any products supplied by Supplier are found to be non-conforming, Supplier shall take prompt corrective action to address the non-conformance. Supplier shall provide ABADODO with a written corrective action plan within [TWO Working] days of notification of the non-conformance. Supplier shall implement and monitor the effectiveness of the corrective action plan and provide ABADODO with periodic updates until the non-conformance has been resolved.
如果发现供应商提供的任何产品不合格,供应商应立即采取纠正措施来解决不合格问题。供应商应在收到不合格通知后的[2个工作]日内向ABADODO提供书面纠正措施计划。供应商应实施并监督纠正措施计划的有效性,并定期向ABADODO提供更新,直至不符合项得到解决。
6. Return Material Authorization (RMA) Procedure 退货授权(RMA)程序
In the event that a product supplied by the Supplier is found to be non-conforming, ABADODO will issue a Return Material Authorization (RMA) number. The Supplier must clearly mark the returned product with this RMA number and ensure that all returned items are accompanied by a detailed description of the non-conformance issues. The Supplier is responsible for all shipping costs associated with the return of non-conforming products.
Upon receipt of the returned items, ABADODO will inspect the products to verify the non-conformance. If the non-conformance is confirmed, the Supplier will be notified and required to submit a corrective action plan as outlined in section 5. The Supplier must address the root cause of the non-conformance to prevent future occurrences and ensure that the corrective actions are sustainable and effective.
ABADODO reserves the right to reject any returned product that does not comply with the RMA procedure or is deemed to be non-conforming due to misuse, improper handling, or damage not caused by the Supplier. In such cases, the Supplier will be notified, and the product will be returned at the Supplier's expense.
如果发现供应商提供的产品不合格,ABADODO将签发退料授权(RMA)编号。供应商必须在退回的产品上明确标记此RMA编号,并确保所有退回的物品都附有对不合格问题的详细描述。供应商负责与退回不合格产品相关的所有运费。
收到退回的物品后,ABADODO将对产品进行检查,以验证是否存在不符合项。如果确认不符合项,将通知供应商并要求其提交第5节中概述的纠正措施计划。供应商必须解决不合格的根本原因,以防止未来发生,并确保纠正措施是可持续和有效的。
ABADODO保留拒绝任何不符合RMA程序或因误用、处理不当或非供应商造成的损坏而被视为不合格的退回产品的权利。在这种情况下,将通知供应商,并将退还产品,费用由供应商承担。
7. Termination 终止
This Agreement may be terminated by either party upon [30] days written notice to the other party. In the event of termination, Supplier shall continue to supply products that meet the quality and warranty standards set forth in this Agreement for any orders that are in process at the time of termination.
任何一方均可在向另一方发出[30]天的书面通知后终止本协议。如果终止,供应商应继续为终止时正在处理的任何订单提供符合本协议规定的质量和保修标准的产品。
8. Governing Law 适用法律
This Agreement shall be governed by and construed in accordance with the laws of [China], without regard to its conflict of law principles.
IN WITNESS WHEREOF, the parties hereto have executed this Supplier Quality and Warranty Terms Agreement as of the day and year first above written.
本协议应受中国境内相关法律管辖,并据其解释,不考虑其法律原则的冲突。
本协议双方已于文首载明之日签署本供应商质量和保修条款协议,特此证明。
